Terms of Service

These terms govern your use of the Prevnt product and marketing site. If you’ve signed a Master Subscription Agreement with Prevnt, Inc., that agreement controls instead. This is a draft pending counsel review.
1. Acceptance
By creating an account or using the service, you (“you”, “customer”) agree to these terms. If you’re signing up on behalf of an organization, you represent you have authority to bind it.
2. The service
Prevnt provides hosted software for preventive maintenance, work orders, predictive analytics, and compliance workflows. We’ll deliver the service with commercially reasonable skill and care, and maintain uptime appropriate to your plan.
3. Your account
- You must provide accurate account information and keep it current.
- You are responsible for activity in your account and for keeping credentials secure.
- You must be at least 18 or the age of majority in your jurisdiction.
4. Acceptable use
Don’t use the service to:
- Break the law or infringe others’ rights.
- Upload malware, attempt to bypass security, or reverse-engineer the service.
- Send spam, phishing, or unsolicited commercial messages through the platform.
- Probe, scan, or load-test without written permission.
- Resell or white-label the service without a reseller agreement.
5. Customer content & IP
You own the data you upload (“customer content”). You grant Prevnt a limited license to process customer content to deliver the service and to produce aggregated, de-identified analytics. We own the service, its software, and all improvements to it.
6. Fees, taxes & refunds
Paid plans are billed monthly or annually in advance as selected at sign-up. Billing and applicable taxes (VAT, sales tax, regional taxes) are handled by our payment processor at checkout. You’re responsible for any taxes that cannot be collected at checkout. Overdue amounts accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
Refunds, cancellations, plan changes, and the EU/UK 14-day right of withdrawal are governed by our Refund Policy.
7. Trials & free tier
Paid trials require no card and convert to the Free plan (up to 3 users and 25 assets) unless you upgrade to Starter, Pro, or Business. We may change Free-tier limits with 30 days’ notice.
8. Term & termination
Subscriptions auto-renew until cancelled. Either party may terminate for material uncured breach with 30 days’ written notice. On termination we retain customer content for 30 days so you can export it, then delete it.
9. Warranties & disclaimers
We warrant the service will materially conform to published documentation. EXCEPT FOR THE EXPRESS WARRANTIES ABOVE, THE SERVICE IS PROVIDED “AS IS”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREVNT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY’S AGGREGATE LIABILITY WILL EXCEED THE FEES PAID BY CUSTOMER FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY.
11. Indemnification
Each party will defend the other against third-party claims arising from its breach of these terms or from its infringing content or conduct, and will pay damages finally awarded in such claims.
12. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Exclusive venue is the state and federal courts located in Wilmington, Delaware.
13. Changes
We may update these terms. Material changes take effect 30 days after we post them. Continued use after the effective date means you accept the updated terms.
